1. STUDENT BEHAVIOUR AND CONDUCT

1.1 Adherence to Code of Conduct: The Student, and the Parent/Guardian on the Student’s behalf, agrees to abide by the Centre’s Code of Conduct (the “Code”), which is incorporated into this Agreement by this reference. The Code outlines the standards of behaviour, attendance, and respect required to maintain a safe and productive learning environment. The current version of the Code is available on the Centre’s website and/or at its premises.

1.2 Consequences for Breach: The Centre reserves the right to take appropriate disciplinary action for any breach of the Code, at its sole and reasonable discretion. This action may include, but is not limited to:

(a) Issuing a formal written warning to the Student and Parent/Guardian;
(b) Temporarily suspending the Student from attending classes;
(c) Permanently expelling the Student from the Centre and terminating this Agreement.

1.3 No Refund for Disciplinary Termination: In the event of termination due to a breach of the Code, no refund of any prepaid fees will be issued.

1.4 Liability for Damage: The Parent/Guardian shall be liable for any damage to the Centre’s property or premises caused by the Student’s wilful or negligent actions. The Centre reserves the right to invoice the Parent/Guardian for the full cost of repairs or replacements.

2. FEES AND PAYMENT

2.1 Fee Structure: The Centre will provide a total of 48 weeks of lessons per year. There will be 4 weeks of planned closures, communicated in advance. Fees are payable monthly and are calculated based on this annual schedule; they are not reducible for planned closures, holidays, or student absences.

2.2 Payment Schedule & Late Fees: Tuition fees are due on the 1st of each month. A late fee of 5% may be applied to all balances outstanding after the 7th of the month.

2.3 Accepted Payment Methods: Fees are payable via cash, bank transfer, or online payment to the respective branches. Bank details are as follows:

2.4 Registration Fee: A non-refundable registration fee is due upon enrolment.

2.5 Fee Changes: The Centre reserves the right to review and adjust tuition fees. Notice of fee changes will be provided in writing at least two (2) months before the new fees take effect.

2.6 Withdrawal & Termination: A full fourteen (14) days’ written notice (WhatsApp message is acceptable) is required to terminate services. Fees for the current month are non-refundable. No refunds or credits are provided for partial months or missed classes.

3. LIABILITY, INDEMNITY, AND RESPONSIBILITY

3.1 Duty of Care: The Centre owes a duty of care to its Students and shall provide tuition services with reasonable skill and care, and maintain a learning environment that is, so far as is reasonably practicable, safe and secure.

3.2 Limitation of Liability: To the fullest extent permitted by law, the Centre, its employees, and agents shall not be liable for any personal injury, loss, or damage to property sustained by a student on the premises, except where such injury, loss, or damage is proven to be a direct result of the centre’s gross negligence.

3.3 Indemnity: The Parent/Guardian shall indemnify and hold harmless the Centre, its employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including legal fees) arising from or related to the Student’s wilful misconduct, negligent acts, or omissions, including injury to others or damage to the property of the Centre or a third party.

3.4 Medical Authorisation: In the event of a medical emergency, the Centre is authorised to seek emergency medical treatment for the student. The parent/guardian is responsible for all costs associated with such medical treatment. The Centre will make every reasonable effort to contact the parent/guardian immediately using the contact information provided.

3.5 Personal Belongings: Students are solely responsible for the safety and security of their personal belongings. The Centre’s liability for any loss, theft, or damage is expressly excluded as per Clause 3.2.

3.6 Severability: If any provision of this indemnity clause is unenforceable or invalid under applicable laws or regulations, the remaining provisions shall remain in full force and effect.

4. DATA PROTECTION

4.1 PDPA Compliance: The Centre complies with the Personal Data Protection Act 2010 (PDPA) in processing your personal data. We process data lawfully, fairly, and transparently for the performance of our contract for tuition services.

4.2 Data Collected: The personal data we collect includes, but is not limited to: names, contact details, academic records, and other information necessary to provide our services.

4.3 Purpose of Processing: Data is used solely for providing tuition services, administration, communication, and academic tracking.

4.4 Third-Party Sharing: Data may be shared with trusted third-party service providers (e.g., cloud services, payment gateways) who are contractually bound by confidentiality and data protection terms.

4.5 Data Retention: Data is retained only for as long as necessary to fulfil the purposes outlined in this clause, comply with legal obligations, or for legal claims. It is then securely disposed of.

4.6 Your Rights: You have the right to access, correct, and limit the processing of your data. Requests must be made in writing to the Centre.

4.7 Promotional Use: The use of Student data or photographs for promotional purposes requires prior, express, written consent, which can be withdrawn at any time.

5. TERMINATION

5.1 Termination for Convenience: Either party may terminate this service for any reason by providing the other with a full fourteen (14) days’ written notice (WhatsApp message is acceptable). Termination by the Parent/Guardian will not trigger a refund for the current month’s fees.

5.2 Termination for Cause by Centre: The Centre reserves the right to terminate this service and a Student’s enrolment immediately for severe misconduct, including but not limited to violence, harassment, theft, or illegal activities, which poses a risk to the safety, well-being, or reputation of the Centre, its staff, or other students.

5.3 Disciplinary Procedure: For matters of grave misconduct not warranting immediate termination under Clause 5.2, the Centre will typically follow a progressive disciplinary procedure, which may include issuing a formal written warning prior to any decision on suspension or expulsion.

5.4 No Refund for Disciplinary Termination: No refunds shall be given for any termination of services by the Centre under Clauses 5.2 or 5.3.

6. DISPUTE RESOLUTION

6.1 Good Faith Negotiation: The parties agree to negotiate in good faith to resolve any dispute arising from this Agreement.

6.2 Mediation/Arbitration: If the dispute is not resolved within thirty (30) days, the parties agree to refer the matter to the Malaysian Mediation Centre or a similar recognised body in Penang for mediation or arbitration, before initiating any legal proceedings. The costs of such proceedings shall be borne equally by both parties.

6.3 Continuation of Obligations: Both parties agree to continue performing their respective obligations under this Agreement while a dispute is being resolved.

7. INTELLECTUAL PROPERTY

7.1 Ownership: All materials, resources, and intellectual property (including but not limited to lesson plans, worksheets, presentations, and educational content) developed or provided by the Centre (“Materials”) are and shall remain the exclusive property of the Centre, unless otherwise agreed in writing.

7.2 Limited License: The Centre grants the Student a limited, non-exclusive, non-transferable, and revocable license to use the Materials for the duration of their enrolment solely for their personal educational purposes in connection with the Centre’s services.

7.3 Restrictions: The License granted in Clause 7.2 does not include any right to, and the Student and Parent/Guardian shall not: a. copy, modify, or create derivative works of the Materials; b. distribute, publicly display, or transmit the Materials to any third party; c. use the Materials for any commercial purpose; or d. remove any proprietary notices from the Materials.

7.4 Obligation: The Student and Parent/Guardian agree not to reproduce, distribute, publicly display, or create derivative works based on the Materials without the Centre’s prior written consent.

7.5 Remedies: The Centre reserves the right to take appropriate legal action, including seeking injunctions, damages, or any other available remedies, to protect its intellectual property rights against any unauthorised use or infringement.

7.6 Survival: The obligations under this Clause 7 shall survive any termination or expiry of this Agreement.

8. PARENTAL RESPONSIBILITIES

8.1 Attendance & Punctuality: Parents/Guardians are responsible for their child’s regular attendance and punctuality. They must notify the Centre of any absence, preferably in advance, and no later than the commencement of the scheduled session.

8.2 Communication: Parents/Guardians must provide and maintain accurate contact information (phone, email, address). The Centre is not liable for missed communications resulting from outdated information.

8.3 Code of Conduct: Parents/Guardians are responsible for ensuring their child’s adherence to the Centre’s Code of Conduct.

8.4 Academic Outcome: The Centre provides tuition with reasonable skill and care but does not guarantee specific academic results, which are dependent on the Student’s effort, aptitude, and other factors outside the Centre’s control.

9. COMMUNICATION AND FEEDBACK

9.1 Official Channels: The Centre’s primary method for all official communication, reminders, and urgent notices is WhatsApp/SMS. Parents/Guardians are responsible for ensuring they are reachable on this channel and for monitoring it regularly.

9.2 Deemed Receipt: Communications sent to the provided contact numbers are deemed received by the Parent/Guardian within 24 hours of sending. The Centre is not liable for any missed communications resulting from the Parent/Guardian’s failure to monitor these channels or to provide updated contact information.

9.3 Progress Updates: The Centre will provide formal progress reports on an as-required basis and may schedule parent-teacher meetings as required. It is the Parent’s/Guardian’s responsibility to review these reports and attend meetings to stay informed.

9.4 Feedback: The Centre welcomes constructive feedback submitted through designated channels. The Centre will make every eƯort to respond to enquiries received via these channels within one (1) business day.

10. Changes to Terms and Conditions

10.1 The Centre reserves the right to modify or update the terms and conditions outlined in this registration form.

10.2 In the event of any changes to the terms and conditions, the Centre will make reasonable efforts to notify parents/guardians in advance. Such notification will be provided via the Centre’s primary communication channel (WhatsApp/SMS) and/or through announcements on the Centre’s website.

10.3 Parents/guardians are responsible for regularly reviewing the terms and conditions to stay informed about any updates or modifications. Continued enrolment in the tuition programme after the effective date of any changes constitutes acceptance of the updated terms and conditions.

10.4 If parents/guardians do not agree with the updated terms and conditions, they have the right to decline and withdraw their child from the tuition programme. In such instances, they must notify the Centre in writing within the reasonable timeframe specified by the Centre.

10.5 Changes to the terms and conditions will not be applied retroactively. Any modifications or updates will take effect from the specified effective date and will not affect any rights or obligations that have already arisen prior to that date.

10.6 The Centre will make reasonable efforts to communicate changes to the terms and conditions in a clear and easily understandable manner.

10.7 Parents/guardians are encouraged to reach out to the Centre’s administrative team if they have any questions or require further clarification regarding the updated terms and conditions.

11. FORCE MAJEURE

11.1 Definition: A “Force Majeure Event” means any unforeseen circumstance beyond the reasonable control of the Centre, including but not limited to natural disasters, pandemics, epidemics, acts of government, war, terrorism, widespread network outages, or any other event recognised as such under Malaysian law.

11.2 Suspension of Obligations: Should a Force Majeure Event occur, the Centre’s obligation to provide services will be immediately suspended for the duration of the event.

11.3 Centre’s Response: The Centre will make reasonable efforts to:

  1. notify Parents/Guardians of any cancellations or changes via its primary communication channels;
  2. reschedule affected sessions where possible; and
  3. mitigate the impact on students’ learning progress, which may include providing alternative resources or online lessons.

11.4 Prolonged Closure: In the event a Force Majeure Event causes a closure exceeding fourteen (14) consecutive days, the Centre will provide a pro-rated credit for any prepaid fees for the cancelled sessions. This credit will be applicable towards future services and is offered in lieu of any cash refund.

11.5 Limitation of Liability: The Centre shall not be liable for any failure or delay in performing its obligations due to a Force Majeure Event. Parents/Guardians hereby waive any and all claims for direct or indirect damages, losses, or expenses arising from such failure or delay.
